These Terms of Service (the "Terms") govern your access to and use of the UtilitySmart website and platform (the "Service"). Please read them carefully before using the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and the terms "you" and "your" will refer to that organization.
2. Description of Service
UtilitySmart provides a platform for comparing electricity, natural gas, and water utility plans across US deregulated and regulated markets. The Service aggregates plan data from official Public Utility Commission (PUC) sources, the US Energy Information Administration (EIA), and OpenEI; parses utility bills into structured data via OCR; and generates AI-powered plan recommendations based on a user's actual usage.
We may modify, suspend, or discontinue any feature of the Service at any time, including the availability of plan data for specific regions or utility types. We will use reasonable efforts to notify users of material changes.
3. User Responsibilities
You agree to provide accurate and complete information when creating your account and uploading utility bills. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to access, alter, or destroy data that does not belong to you; (c) interfere with the Service's security, rate limits, or infrastructure; (d) scrape, resell, or redistribute plan data without written permission; (e) use automated scripts that exceed our public API rate limits.
You retain ownership of all utility bill data you submit. By submitting bill data, you grant UtilitySmart a non-exclusive license to process and analyze that data solely to provide and improve the Service for you.
4. Intellectual Property
The Service, including its software, design, content, plan aggregation methodology, OCR pipeline, and recommendation engine, is owned by UtilitySmart and protected by US and international intellectual property laws.
Plan data sourced from PUC, EIA, and OpenEI remains the property of the respective data providers and is governed by their applicable terms. UtilitySmart provides this data for informational comparison purposes only.
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. Commercial use requires an Enterprise subscription.
5. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that plan rates are accurate, complete, or up-to-date. Plan data is refreshed periodically (typically every 90 days) and may not reflect real-time changes by Retail Electric Providers (REPs) or utility companies. Always verify rates directly with the provider before enrolling.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any AI-generated recommendation will result in actual savings.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL UTILITYSMART BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST SAVINGS, OR UTILITY OVERCHARGES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
THE TOTAL AGGREGATE LIABILITY OF UTILITYSMART FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO UTILITYSMART IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
THIS LIMITATION APPLIES EVEN IF UTILITYSMART HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Indemnification
You agree to indemnify, defend, and hold harmless UtilitySmart and its affiliates, officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) your misuse of the Service; (c) your violation of applicable law or third-party rights; or (d) any inaccuracies in the bill data you submit.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
8. Termination
You may terminate your account at any time from the Settings page. Upon termination, we will delete your personal data and bill data in accordance with our Privacy Policy, except where retention is required by law.
We may suspend or terminate your access to the Service immediately, without prior notice, if: (a) you violate these Terms; (b) we suspect fraudulent, abusive, or unlawful activity; or (c) we discontinue the Service or a material feature of it.
Upon termination, all licenses granted to you under these Terms will immediately cease, and you must stop using the Service.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
10. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
